Business Terms of Service

Effective Date: September 1, 2026

These Business Terms of Service (“Terms”) govern your organization's purchase and use of HappyTrek for Organizations, operated by HappyTrek, LLC (“HappyTrek,” “we,” “us”), a Maine limited liability company.

By creating an account, purchasing seats, or using the HappyTrek for Organizations dashboard, you accept these Terms on behalf of your organization and confirm you are authorized to do so.

1. The Service

HappyTrek for Organizations allows an organization to purchase access to the HappyTrek wellness app for its employees, members, or affiliated individuals (“Users”).

Upon subscribing, your organization receives a company code and access to an administrative dashboard. Your organization distributes the company code to its Users, who enter it when creating a HappyTrek account. Each User who redeems the code occupies one seat against your organization's purchased seat count.

HappyTrek does not distribute company codes to your Users. Distribution is your organization's responsibility.

2. Seats and Pricing

Your organization purchases a number of seats, billed monthly in advance. Per-seat pricing is tiered by total seat count, as displayed at the time of purchase.

Your organization may increase or decrease its seat count at any time through the dashboard. Changes take effect immediately, and Stripe applies prorated charges or credits to your next invoice. If a change in seat count moves your organization into a different pricing tier, the new per-seat rate applies to all seats.

Your organization cannot reduce its seat count below the number of Users who have already redeemed its company code. To reduce seats below that number, your organization must first remove Users from its plan through the dashboard.

Users cannot redeem the company code beyond your organization's purchased seat count. If your organization needs additional seats, it must increase its seat count through the dashboard.

Some organizations purchase under separately agreed pricing and payment terms, including negotiated per-seat rates and invoiced billing. Where a negotiated rate has been agreed, that rate applies at or above the agreed seat threshold; below that threshold, standard tiered pricing applies.

3. Billing

Subscriptions are billed monthly to the payment method on file, through Stripe. HappyTrek does not store payment card information.

If a payment fails, HappyTrek will attempt to collect payment again. If payment cannot be collected, your organization's subscription may be suspended or cancelled, and access provided through your company code will end.

4. Price Changes

HappyTrek may change its pricing. We will provide at least thirty (30) days' notice before any price increase takes effect for an existing subscriber. The new price applies at your organization's next renewal following that notice period. If your organization does not accept the new price, it may cancel before the increase takes effect.

5. Cancellation

Your organization may cancel at any time through the dashboard. Access continues through the end of the billing period already paid for. At the end of that period, the company code stops working and Users lose the access provided through it.

Payments already made are non-refundable, and HappyTrek does not prorate refunds for partial periods.

Users' individual HappyTrek accounts are not deleted when an organization cancels. Users may continue using HappyTrek's free features or purchase individual subscriptions.

6. Your Organization's Responsibilities

Your organization is responsible for:

  • Distributing the company code appropriately and only to individuals it intends to grant access
  • Keeping the company code reasonably confidential
  • Maintaining the security of dashboard administrator accounts and credentials
  • Ensuring its use of HappyTrek complies with applicable laws, including employment and privacy laws in its jurisdiction
  • Any communications it makes to its Users about HappyTrek, including any representations about the service

If your organization provides HappyTrek access as part of a paid membership, benefit package, or other arrangement with its Users, the terms of that arrangement are between your organization and its Users. HappyTrek is not a party to it and is not responsible for it.

7. User Information

The dashboard displays limited information about Users who have redeemed your organization's company code: the email address each User signed up with, and the date each User last opened the app.

The dashboard does not display, and HappyTrek does not provide to organizations, any of the following: Users' check-ins, mood entries, saved content, video activity, AI-generated suggestions, or any other content Users create or select within the app. This information is not available to organizations in any form, including in aggregate.

Your organization controls the User information displayed in its dashboard. Your organization may request a copy of that information or request that HappyTrek delete it. HappyTrek stores and displays this information on your organization's behalf and does not use it for any other purpose.

Your organization is responsible for complying with any notice or consent obligations it has to its own Users regarding this information.

8. Data Deletion

Upon your organization's written request, HappyTrek will delete your organization's account data, including its dashboard records and User roster, within a reasonable period. HappyTrek may also delete the data of organizations whose subscriptions have been inactive for an extended period.

Deletion of organizational data does not delete Users' individual HappyTrek accounts, which remain subject to the HappyTrek Privacy Policy and Terms of Use.

9. Service Availability

HappyTrek is provided on an “as is” and “as available” basis. HappyTrek does not offer a service level agreement and does not guarantee uninterrupted or error-free availability of the app or the dashboard.

HappyTrek relies on third-party infrastructure and service providers. Interruptions caused by those providers are outside HappyTrek's control, and HappyTrek is not liable for them.

HappyTrek may modify, suspend, or discontinue features at any time. If HappyTrek discontinues the HappyTrek for Organizations service entirely, it will provide reasonable notice and will not charge for periods after the service ends.

10. Not Medical Care

HappyTrek is a general wellness product. It does not provide medical care, psychological therapy, diagnosis, treatment, or crisis intervention, and nothing in the app or the dashboard should be interpreted as clinical advice.

Your organization should not represent HappyTrek to its Users as a substitute for medical care, mental health treatment, or an employee assistance program.

11. Acceptance and Termination

HappyTrek may decline to provide service to any organization, and may suspend or terminate an organization's account, for any reason, including violation of these Terms or use of the service in a manner HappyTrek reasonably considers harmful, unlawful, or abusive.

If HappyTrek terminates an organization's account for reasons other than that organization's breach, HappyTrek will refund any amount paid for the period after termination.

12. Intellectual Property

HappyTrek and its licensors own all rights in the HappyTrek app, the dashboard, and all related content, trademarks, and materials. Your organization receives a limited, non-exclusive, non-transferable right to access and use the service during its subscription. Nothing in these Terms transfers ownership of anything to your organization.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HAPPYTREK'S TOTAL LIABILITY TO YOUR ORGANIZATION FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOUR ORGANIZATION PAID TO HAPPYTREK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

HAPPYTREK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY.

14. Indemnification

Your organization agrees to indemnify and hold harmless HappyTrek and its members, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your organization's use of the service, its distribution of company codes, its representations to its Users, or its breach of these Terms.

15. Changes to These Terms

HappyTrek may update these Terms. We will notify subscribing organizations of material changes by email or through the dashboard. Continued use of the service after changes take effect constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the State of Maine, without regard to conflict of law principles. Any dispute shall be brought exclusively in the state or federal courts located in Cumberland County, Maine.

17. Entire Agreement

These Terms, together with the HappyTrek Privacy Policy, constitute the entire agreement between HappyTrek and your organization regarding the service, and supersede any prior agreements or understandings. If HappyTrek and your organization enter into a separate written agreement, that agreement controls to the extent it conflicts with these Terms.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
